Enterprise Assets – Terms and Conditions for the Purchase of Wine, Champagne, Whisky and Related Services
1. Definitions
Bonded Warehouse – A UK HMRC-regulated bonded storage facility used to store wine, champagne, or whisky under bond in a duty-suspended and climate-controlled environment.
Client / You / Your – The individual or entity purchasing stock or instructing Enterprise Assets to act on their behalf.
Company / We / Us / Our – Refers to Enterprise Assets.
Conditions – These Terms and Conditions, including any supplementary or bespoke terms agreed in writing between the Client and Enterprise Assets.
Contract – The agreement between the Client and Enterprise Assets for the procurement, purchase, or delivery of wine, champagne, whisky, or related services.
Delivery – The date stock is delivered into bond by the Supplier, Enterprise Assets, or appointed Duty Representative.
Escrow Company – A third-party FCA-registered payment service provider managing secure payments over £5,000 for UK-based private clients.
Payment – Cleared funds received into the designated escrow account in full for the ordered stock.
Service – Enterprise Assets’ activity as agent or negotiator to procure stock on your instruction.
Stock / Goods – Wine, champagne, or whisky being offered or procured on your behalf.
Stock Reservation Form – The formal purchase order completed and signed by the Client instructing Enterprise Assets to procure or reserve stock.
Supplier – The entity supplying stock to or on behalf of Enterprise Assets.
2. Orders
2.1 A Contract is formed once you sign and return a Stock Reservation Form and cleared funds are confirmed by the escrow provider.
2.2 Upon verification of AML checks and receipt of full funds, we will issue formal confirmation and instruct stock transfer to the agreed bonded facility. Transfers may take up to 120 days.
2.3 Enterprise Assets reserves the right to reject instructions from third parties, even if they are related to or intended beneficiaries of the stock.
2.4 Once signed and accepted by the escrow provider, the instruction forms a binding commitment from both parties. This does not affect your statutory rights.
2.5 Clients agree to hold the stock in bond for a minimum of five (5) years, unless removed for personal consumption.
3. Cancellations
3.1 Cancellations must be submitted in writing within seven (7) working days. The escrow provider will return funds upon receipt of valid notice. This does not apply to investment-grade wine, champagne or whisky under Distance Selling Regulations.
3.2 For out-of-stock goods, procurement will commence within 28 days of escrow confirmation.
3.3 Should availability or pricing change before the order is placed, a comparable substitute will be offered, or a full refund provided.
4. Delivery
4.1 We will inform you once delivery is confirmed by the supplier to the bonded facility.
4.2 We cover costs associated with delivery to the agreed bonded facility, unless otherwise specified.
4.3 Additional delivery fees may apply if the delivery is made to a facility where we do not hold an account.
4.4 Enterprise Assets shall not be liable for delays resulting from Force Majeure, defined as unforeseeable events beyond our control.
5. Storage & Removal
5.1 Stock is stored in HMRC-approved bonded facilities with appropriate environmental controls.
5.2 You are responsible for ongoing storage and insurance fees following transfer to your private bond account. These are charged directly by the bonded warehouse.
5.3 Risk transfers to you once the stock is received into your private bonded account. You must ensure adequate insurance is in place from this point.
5.4 Premier Clients may be reimbursed for annual storage and insurance costs upon submission of a paid invoice.
5.5 You are responsible for all costs related to stock removal, including transport and handling fees.
5.6 If stock is lost or damaged before transfer into your bond account while under our insurance, we will offer either a replacement or a refund up to the lower of the market or replacement value.
6. Title & Documentation
6.1 Title transfers to you upon full cleared payment and procurement from the Supplier.
6.2 A bonded warehouse receipt will be provided confirming stock allocation into your private account.
7. Pricing
7.1 All prices are quoted in bond, in Pounds Sterling, per case, excluding VAT and Import Duty unless otherwise stated.
7.2 Removal from bond will trigger HMRC Duty and VAT obligations, which you are responsible for paying directly to the bonded warehouse.
7.3 Pricing includes mark-up for sourcing, transport, and global availability. Similar stock may be priced differently on other platforms.
8. Liability & Warranty
8.1 Enterprise Assets makes no representations or guarantees concerning:

Stock suitability for consumption or investment

Future value appreciation

Resale options within 5 years (except where part of a pre-defined Income Generating Portfolio)

Early liquidation, regardless of personal, legal, or estate circumstances
8.2 We warrant to:

Use only qualified and reputable bonded storage providers

Maintain adequate insurance up to the point of transfer

Provide our services with due care and diligence

Transfer title in accordance with valid estate or succession instructions (but not override minimum holding periods)
8.3 Our liability is limited to the value of the stock giving rise to any claim.
8.4 No other warranties, either implied or expressed, are offered beyond what is stated in these Terms.
9. Governing Law
9.1 These Terms and the Contract between you and Enterprise Assets shall be governed by the laws of England and Wales.
